Terms of Service

These Terms govern your use of trellisstack.com and Ivy, a membership and event management platform operated by Trellis Stack LLC ("Trellis Stack," "we," "us"). Ivy is used by private clubs, event venues and private parties ("Venues"). By using Ivy or this site, you agree to these Terms.

If you are a Venue, your subscription agreement with Trellis Stack also applies. Where it conflicts with these Terms, the subscription agreement controls.

1. Accounts

You must be at least 18 years old, and you must meet any age requirement set by the Venue you join. You agree to provide accurate information and to keep your sign-in credentials secure. You are responsible for all activity under your account.

2. Venues and memberships

Each Venue sets its own membership terms, pricing, admission rules, event policies, refunds and code of conduct. Your membership and any tickets you buy are between you and the Venue, and refund requests go to the Venue. Trellis Stack provides the software the Venue uses and is not responsible for Venue events.

3. Text Messaging — Venue Account Texts

Program. Account texts are sent by the Venue you applied to, joined or work for, from that Venue's own registered number and in its own name. Venues send them using Ivy. Each message begins with the Venue's name. Trellis Stack provides the software and does not text you on a Venue's behalf.

What you receive. Account texts are limited to:

• one-time sign-in codes you request on a Venue's sign-in screen;
• application and membership status updates;
• purchase receipts and ticket confirmations;
• notices that an event you hold a ticket for was cancelled or moved;
• membership renewal and activation notices;
• account setup links for Venue staff;
• links to messages from a Venue's staff.

Account texts never include marketing.

How you opt in. You opt in by checking the account text message consent box when you apply to or join a Venue through Ivy. Requesting a sign-in code is consent to receive that code. If a Venue adds you as staff and you agree to receive it, the Venue texts you a one-time account setup link at the number it enters. If a Venue's staff write to you about your application or membership, the Venue may text you a link to read and reply. Each Venue shows the exact opt-in wording on its own site at /sms-consent, and ours is on our text message opt-in page.

Frequency and cost. Message frequency varies. Message and data rates may apply.

Opting out. Reply STOP to cancel. You can also use UNSUBSCRIBE, END, QUIT, CANCEL, STOPALL, REVOKE or OPTOUT. You will receive one message confirming that you have opted out.

Each Venue sends from its own number, so replying STOP to a Venue's account texts stops that Venue's account texts, including sign-in codes, and no other Venue's. Reply START to that Venue's number to resume.

Help. Reply HELP for help, contact the Venue, or email support@trellisstack.com.

Carriers. Carriers are not liable for delayed or undelivered messages.

Venue marketing texts. A Venue may also send event and promotional texts to people who separately opted in to them. Those come from the Venue's separate marketing number, are governed by the Venue's own terms, and a STOP to them does not stop account texts.

4. Venue subscriptions and billing

Subscription fees are billed to Venues in advance, on a monthly or annual basis. All fees are non-refundable except as required by law.

5. Acceptable use

You agree not to:

• use Ivy for any unlawful purpose;
• interfere with or disrupt the service;
• attempt to gain unauthorized access to any account or system;
• scrape or copy the service or its data.

Venues agree to send promotional messages through Ivy only to people who have given the separate consent the law requires.

6. Intellectual property

Trellis Stack owns Ivy, trellisstack.com and their content, other than content supplied by Venues or users. Using Ivy does not give you any ownership rights in it.

7. Termination

We may suspend or end your access if you violate these Terms. You may stop using Ivy at any time. Your Venue controls your membership.

8. Disclaimers

Ivy is provided "as is" and "as available." To the fullest extent the law allows, Trellis Stack disclaims all warranties, express or implied.

9. Limitation of liability

To the fullest extent the law allows, Trellis Stack is not liable for indirect, incidental, special, consequential or punitive damages. Our total liability for any claim is limited to the amount you paid Trellis Stack in the 12 months before the claim.

10. Governing law

These Terms are governed by the laws of the State of Utah.

11. Changes to these Terms

When we update these Terms, we will post the new version here with a new effective date. If you keep using Ivy after a change takes effect, you accept the updated Terms.
